Authority to enter into this Agreement

This agreement is between you (“you”) and Creed Media Private Limited (“Creed Media”). This agreement contains the terms and conditions of Creed Media Services. For more details, you will be able to find more information regarding Creed Media’s service on this page, http://www.creed-media.com/publishers. Please read all of the following terms and conditions carefully. By proceeding to create a free account with us and ticking the box which states “I agree to the Creed Media Publisher Policy”, you affirm that you have voluntarily, acted on behalf of yourself/your company with full capacity to accept and bind yourself/your company to these terms and conditions. These terms and conditions are collectively referred to as “agreement” and they are as follows:

The service

Strictly for further explanation, Creed Media game advertising platform publishers program is an optional program for partners/publishers who owns web properties including but not limited to websites, downloadable applications, internet tools meant for content distribution, RSS feeds, feeds based downloads and or any other property capable of distributing, featuring, publishing, displaying Creed Media’s Games. Creed Media, at its sole discretion reserves all rights at any time to modify or discontinue the game advertising service temporarily or permanently without any notice.

Exclusive Relationship with Creed Media

You agree to communicate and liaise directly with Creed Media at all times regarding any content of Creed Media’s including but not limited to advertiser’s content, advertiser, links in connection with your property.

Eligibility

You agree that you are

• At least 18 years old and you have full legal capacity to bind yourself to these terms and conditions of this agreement or that you are between OR 13-17 years old and have agreed to these terms and conditions of this agreement with the consent of your parent/legal guardian

• Representing an entity, with the entity’s written expressed authority to bind the entity to these terms and conditions of the agreement.

Responsibilities

You agree that you are

• Aware and will abide by all our other policies including the proper implementation of all Creed Media’s specifications.

• Aware and accept that Creed Media, in its sole discretion reserves the rights to investigate any suspected misuse of our service and that Creed Media will be able to take appropriate legal action against anyone who violates this agreement.

• You agree that you will at all times, update and maintain the accuracy and truth of the registration, personal and all other information and your use of Creed Media’s service to engage in any illegal activities and does not violate any applicable law or regulation. You agree that you are the owner of each web property or you are legally authorized to act on behalf of the owner with regards to entering this agreement and Creed Media’s advertising service. You agree that you bear the sole responsibility to all your web properties and their content including without limitation such as websites and webpages, content, materials, operations, maintenance and information.

• You will not violate any applicable law, conduct any illegal activities or violate Creed Media’s policies. You will be solely responsible for any charges or expenses incurred including but not limited to taxes and governmental charges. You will not collect any information residing in Creed Media’s advertising platform including without limitation information such as content, email addresses, personally identifiable details, users account, passwords, usernames, financial information and statistics.You will not distribute any infectious or unauthorized materials on Creed Media’s website and advertising platform including without limitation, viruses, technologies that may harm Creed media and spam. You will display Creed Media’s content on a highly visible portion on your web property(ies).

• You are hereby aware and thereby warrants that all content provided by you does not in anyway infringe any copyright, trademarks, intellectual property right, or any other law.

Fraud Detection and Prevention

YOU EXPRESSEDLY AGREE TO THE FOLLOWING. YOU WILL NOT GENERATE ANY FALSE IMPRESSIONS TO THE ADVERTISEMENTS FROM ANY AUTOMATED SYSTEM, INCLUDING BUT NOT LIMITED TO “SPIDERS”, “ROBOTS” AND “OFFLINE READERS”. YOU ARE NOT ALLOWED TO ENCOURAGE OR COERCE ANY VISITORS TO YOUR WEB PROPERTIES TO REPEATEDLY VIEW THE ADVERTISEMENT FOR THE PURPOSE OF WRONGFUL GAIN OR INTENT TO BOOST YOUR EARNINGS. YOU ARE NOT ALLOWED TO REPEATEDLY VIEW THE ADVERTISEMENT ON YOUR OWN WEB PROPERTY FOR THE PURPOSE OF WRONGFUL GAIN OR INTENT TO BOOST YOUR EARNINGS. YOU AGREE THAT YOU WILL USE THE SYSTEM/PLATFORM FOR ONLY ITS INTENDED PURPOSE. ANY ATTEMPT TO MISUSE, ABUSE OR ACCESSING THE SYSTEM WITH THE INTENTION OR ATTEMPT TO VIOLATE THE INTEGRITY OF THE SYSTEM, PLATFORM OR THIS AGREEMENT WILL LEAD TO AN AUTOMATIC SUSPENTION OF YOUR ACCOUNT WITH ALL UNPAID EARNINGS FORFEITED. SUCH MISUSE OR ABUSE OF THE SYSTEM WILL BE DEALT WITH TO THE FULLEST EXTENT OF THE LAW. CREED MEDIA RESERVES THE RIGHT TO DISABLE ALL ACCOUNTS SUSPECTED OF ENGAGING IN FRADULENT ACTIVITIES INCLUDING BUT NOT LIMITED TO THOSE LISTED ABOVE WITHOUT ANY PRIOR NOTICE. ALL EARNINGS IN THE ACCOUNT WILL BE AUTOMATICALLY FORFEITED. CREED MEDIA RESERVES THE RIGHT TO RETAIN ANY AND ALL ACCOUNT DETAILS FOR FURTHER LEGAL ACTION.

Termination and cancellation

Creed Media, at its sole discretion will be able to deny any potential user from using Creed Media’s service with or without any reason. Creed Media, at its sole discretion, reserves all rights to terminate and/or cancel your account at any time with any or no reason and without any notice. Your account will be terminated if it is inactive after 180 days (approximately 6 months).

Publicity

You agree that Creed Media may use your name and logo in presentations, marketing materials, customer lists, financial reports, web site listings of customers.

Disclaimer and Limitation of Liability

TO THE FULLEST EVENT PERMITTED BY LAW, CREED MEDIA DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION TO ALL OF CREED MEDIA’S ADVERTISING, LINKS, REFERRALS, INFORMATION, THE ADVERTISING SERVICE AND OTHER SERVICES. IN ADDITION, CREED MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY AND COMPLETENESS OF THE ADVERTISING SERVICE. CREED MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR ANY PURPOSE. CREED MEDIA DOES NOT WARRANT, ENDORSE, ASSURE, OR ASSUME ANY RESPONSIBLITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY ANY OF OUR ASSOCIATES OR THIRD PARTY THROUGH THE SERVICE. CREED MEDIA WILL NOT BE AT ANY TIME RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND OUR ASSOCIATES OR THIRD PARTY. CREED MEDIA WILL NOT BE LIABLE IN ANY WAY FOR ANY LOSSES, DAMAGES, EXPENSES, REVENUE, GOODWILL, CORRUPTION OF DATA, TORT, AND NEGLIENCE. EVEN IF CREED MEDIA IS ADVISED OF THE POSSIBILITY OF SUCH A LOSS OR DAMAGE, CREED MEDIA WILL NOT BE LIABLE IN ANY WAY WHATSOEVER. CREED MEDIA SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES WHICH ARISES FROM SITUATIONS WHICH ARE BEYOND THE REASONABLE CONTROL OR PREDICTIONS OF CREED MEDIA, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, TERRORISM, NATURAL DISASTERS AND POWER/ SERVER FAILURES.

Indemnity

You agree that you fully indemnifies Creed Media, its associates, affiliates, and partners from any third party claim, liability, damages that the you may sustain or incur either indirectly or indirectly as a result of your usage of Creed Media’s platform, website or advertising service or your breach of this agreement.

Confidentiality

You accept that you will keep all of Creed Media’s information strictly confidential and will not disclose any information to anyone including but not limited to all the content residing on Creed Media’s advertising platform such as click through rates, conversions, impressions and financial information.

No guarantee

Creed Media assures no guarantee with regards to the level of impressions or clicks on any form of advertisements. Creed Media does not guarantee the delivery of any amount of impressions, clicks or any referrals. Creed Media does not assure you the amount of any payment to be made to you under this agreement. Creed Media does not assure our game advertising platform to be operating at all times. For further clarification, Creed Media does not assure operations to be running at all times because of

• Network, server failures

• Internet Service Providers failures

• Failures of your own equipment

• Events beyond Creed Media’s control including but not limited to natural disasters, governmental actions, riots, and strikes.

No warranty

TO THE FULLEST EVENT PERMITTED BY LAW, CREED MEDIA DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION TO ALL OF CREED MEDIA’S ADVERTISING, LINKS, REFERRALS, INFORMATION, THE ADVERTISING SERVICE AND OTHER SERVICES. IN ADDITION, CREED MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY AND COMPLETENESS OF THE ADVERTISING SERVICE. CREED MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR ANY PURPOSE. CREED MEDIA DOES NOT WARRANT, ENDORSE, ASSURE, OR ASSUME ANY RESPONSIBLITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY ANY OF OUR ASSOCIATES OR THIRD PARTY THROUGH THE SERVICE. CREED MEDIA WILL NOT BE AT ANY TIME RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND OUR ASSOCIATES OR THIRD PARTY.

Payment

Creed Media’s payment scheme is a revenue sharing model between Creed Media and its publishers/partners. The Revenue sharing scheme is based on per 1000 impressions/views only on displayed/featured advertisements through and confirmed by Creed Media’s game advertising network. Publishers/Partners are paid upon reaching at specific amounts that are USD $25, $50, USD$100, USD$150, USD$200, USD$300 that the publisher/partner stated during their initial registration as a Creed Media publisher/partner, stated as Threshold Amount. In addition, Creed Media, at its sole discretion, reserves all rights to determine or revise the percentages it share its revenue with the publishers/partners and percentages may vary between publishers/partners depending on varying factors including but not limited to the visitor’s rate to your web property, amount of Creed Media game play on your website, bad debts, payment defaults, discounts, sales commissions, refunds, postage, currency conversion rates and processing fees. The net amount of the revenue share for each publisher/partner will be determined by Creed Media at its sole discretion. In addition, Creed Media, at its sole discretion reserves the rights to change the revenue sharing scheme including but not limited to percentages, formats, payment methods and schedule at its sole discretion.

a) Publishers/Partners will receive their payment through a signed cheque from Creed Media to the registered name and stated address that will be provided by the Publisher/Partner upon reaching the chosen Threshold amount in the Publisher/Partner's account. You are solely responsible for providing and maintaining the accuracy and integrity of the address, name and all other required payment information on your Creed Media account.

b) Creed Media reserves all rights to make payment to you only after you have reached the stated amount declared during the initial registration as a Publisher/Partner. Upon your termination, Creed Media will pay you the remaining balance left in your account after all applicable charges, transaction charges, payment defaults, credits, chargebacks and any other reasonable expenses incurred. However, if your balance is less than USD $15, Creed Media will not be entitled, obligated and authorized to pay you any money. Instead, your remaining balance in your account will be forfeited. You will not hold Creed Media liable in any way whatsoever for your loss.

c) You are solely responsible for all applicable charges including without limitation such as taxes, governmental charges and all other reasonable expenses with regards of your use of the Creed Media Game advertising service.

d) Creed Media will be authorize to chargeback any amount paid to you in the event of an advertiser or ad partner whose advertisements have been displayed on Creed Media game advertising network assesses a chargeback against Creed Media or defaults on any amounts owed to Creed Media for the Advertisements.

e) Upon reaching the stated amount entered during the initial registration and subject to all other third party fees incurred for streaming the advertisements, including but not limited to administrative costs, hosting fees, discounts, sales commissions and advertising, Creed Media will issue the payment for the stated amount within 90 days of the end of the month in which the amount stated was reached or when all payment are received for the displayed advertisements.

f) Should you dispute any payment made or not made regarding Creed Media game advertising network, you MUST notify Creed Media in writing within (30) days of the occurrence. Failure to do so will result in the complete waiver by you of any claims related to the dispute. Payments and all other financial information shall be calculated by Creed Media, solely on its game advertising platform. No other form of measurements will be accepted by Creed Media.

g) Creed Media will not be in any way possible liable for any payment based on fraud including without limitation, such as fraudulent advertisement displays, robots, fraudulent impressions, fraudulent clicks and any breach of this agreement by you.

Creed media/Intellectual Property rights

You accept and agree that Creed Media owns the Creed Media game advertising platform and all of its content including but not limited to images, photos, sounds, videos, advertisements, interactive features, trademarks and logos. You accept and agree that Creed Media owns all rights, titles and interests, including but not limited to all intellectual property rights regarding Creed Media game advertising platform. You are not allowed at all times, to use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or any other form of exploitation including without limitation to all of Creed Media’s content such as image, flash files, games, advertisements and any other property(ies). In addition, you are not permitted to sublicense, modify, resell, redistribute, repackage, adapt, translate, decompile, reverse engineer or any other form of exploitation the Creed Media game advertising service.

Subjected to the terms of the Creed Media Privacy Policy located at http://www.creed-media.com/PrivacyPolicy.aspx Creed Media may share non personally identifiable information about you, including property URLS, property related statistics and information, with or without any of Creed Media’s associates including but not limited to business partners, third parties and sponsors. You agree and provide Creed Media with all the necessary and required authorizations and rights to access, index, collect, track the property(ies), or any portion by methods authorized and employed by Creed Media.

Arbitration

All parties agree that they will try their best in good faith to settle all forms of disputes and claims within a reasonable time period (60 days). In a situation whereby any forms of disputes and claims cannot be resolved, all forms of disputes and claims will be solved through arbitration services provided by the Singapore International Arbitration Centre (“SIAC”). All unresolved disputes and claims will be submitted to the SIAC for resolution.

Jurisdiction

If any disputes of claims arise, it shall be brought before a court of law, pre- or post-arbitration, Visitor agrees that the sole and proper jurisdiction to be the state and city declared in the contact information of the web owner unless otherwise here specified, in this case the Republic of Singapore.

Miscellaneous

Customer understands and accepts that Creed Media, at its sole discretion, will be able to modify these terms or any other policies at any time and that a notice will be placed on creed-media.com which will warrant sufficient notification of the modification. Any usage of Creed Media’s game advertising platform after the modification(s) will constitute to an agreement by you to the updated terms and conditions. You also acknowledge that you are fully responsible for checking updates regarding the modifications. You acknowledge that Creed Media shall not be liable in anyway whatsoever to you or any third party for any modification, suspension, or discontinuance of Creed Media’s service.
