Advertiser Policy

Authority to enter into this Agreement

Stated below are Creed Media Pte Ltd’s terms and conditions for the use of our advertising network at http://www.creed-media.com and its subpages (“Platform”).

Parties: All advertisers (company or otherwise) who uses the Platform to advertise their product, services or brand shall be referred to as the “Customer”.
Creed Media Private Limited is the service provider of the Platform and shall be referred to as “Creed Media”.
Associates & third parties/party: Including but not limited to All Publishers, game developers, advertisers, business partners, suppliers, sponsors, visitors to all links of http://www.creed-media.com and registered creed media users.

Please read all of the following terms and conditions carefully. By proceeding to create a free account with us and ticking the box which states “I agree to the Creed Media Advertiser Policy”, you affirm that you have voluntarily, acted on behalf of yourself/your company with full capacity to accept and bind yourself/your company to these terms and conditions. These terms and conditions is a legally binding agreement which supercedes all previously proposed commercial terms to date are collectively referred to as “agreement” and they are as follows:

Advertising Services

Customer will be solely responsible to provide all content necessary for the usage of our Platform including but not limited to information, URLs, Descriptions, Pictures, Flash videos etc. Customer warrants that all information and content provided by the customer is accurate, true, complete and current. Customer is henceforth aware and accepts that the Customer is fully and solely responsible for all information and content residing in their account(s).

Customer will not violate any applicable law, conduct any illegal activities or violate Creed Media’s policies. Customer will be solely responsible for any charges or expenses incurred including but not limited to taxes and governmental charges. Customer will not collect any information residing in Creed Media’s advertising platform including without limitation information such as content, email addresses, personally identifiable details, users account, passwords, usernames, financial information and statistics. Customer will not distribute any infectious or unauthorized materials on Creed Media’s website and advertising platform including without limitation, viruses, technologies that may harm Creed media and spam. Customer is hereby aware and henceforth warrants that all content provided by the customer does not in any way infringe any copyright, trademarks, intellectual property right, or any other law.

Customer henceforth authorizes and grants Creed Media all rights including but not limited to access, use, reproduce, distribute, place, publish, copy, perform, reformat, host, cache, route, transmit, store, analyze and excerpt any and all materials uploaded or stored in the platform. Customer will have to be responsible for customizing their own advertising campaign including but not limited to the selection of genres, targeted countries etc, duration and budget of campaign etc. Customer is henceforth aware and accepts that Creed Media, at its sole discretion, decides all methods of statistics/ formatting and all other procedures including but not limited to how to measure, track and calculate the number impressions, clicks, conversions on the platform. Customer is henceforth aware and accepts that Creed Media will be granted the full rights to the content provided by Customer for purposes including but not limited to internal business purposes, auditing and recording purposes etc. (example: case studies)

Customer acknowledges and hereby accepts and grants all rights to Creed Media to allow Creed Media, at its sole discretion to publish any measurements. Customer acknowledges and hereby accepts that Creed Media does not guarantee any results from our advertising service platform. Customer understands, accepts and grants Creed Media to determine and decide where and when the Customer's submitted content (example: advertisements) are to be including but not limited to be displayed, placed, published, hosted, performed, distributed, streamed and accessed etc. Customer is henceforth aware that Creed Media reserves the rights, in its sole discretion to including but not limited to modifying these terms without any form of liability. Customer who uses the platform after the modification(s) is deemed to have accepted the new terms.

Creed Media Policies

Customer is hereby aware that they are not allowed to participate in unlawful practice(s) and business (es).Customer will be able to contact Creed Media only through our email support or webforms for advertising inquiries. Customer is subjected to abide by all Creed Media policies and guidelines including but not limited to our Privacy Policy. Customers will not be able to authorize any party to create any false statistics including but not limited to false impressions, false clicks, false conversion rates and false financial information.Customers will not be allowed at any time to participate in practices including but not limited to accessing, collecting any form of information and extracting data without the expressed written permission of Creed Media.

Cancellation

Customer is henceforth aware and accepts that Creed Media reserves all rights including but not limited to remove, reject, deny any potential/current customers from the platform with any or no reason at any time.Customer will be able to cancel or terminate their account or campaign at any time through the platform the customer registered at. However, a prior notice of a minimum of 14 business days must be given to Creed Media.

Upon cancellation by either party, Customer will be able to retrieve any remaining un-used credit back for monetary value upon written request by the customer within 45 days of cancellation by cheque only. If no such request is brought to the attention of Creed Media within 45 days of cancellation by the Customer, all remaining un-used credits will be deemed forfeited.

Registration & Security relating to information

Customer henceforth understands and accepts the terms that he will be solely in charge of all his information including but not limited to his account’s passwords, username, logs and content etc. Customer henceforth understands and accepts that Creed Media disclaims all any form of expressed or implied liabilities and warranties relating to security of accounts or content including but not limited to passwords, usernames, account financial information, amount of views, conversion rates, websites registered, advertisements uploaded, campaign budgeting, advertisement campaign positioning and targeting, results, clicks, results of Creed Media’s publishers etc. Customer agrees that all financial information including but not limited to provided and generated financial information residing on Creed Media’s platform will be able to be used by Creed Media’s and Creed Media’s associates for purposes such as including but not limited to information collection, statistics tracking, publications, case studies, checking, auditing and legal processes. In addition, Creed Media will not be liable in any possible way due to the disclosure of information.

Payment

Customer understands and henceforth accepts that all payment is to be made in US Dollars unless an agreement was expressively agreed in writing by Creed Media. Customer agrees that all payments are to be made in advance (prepayments) and to be paid through an online automated payment gateway unless a separate agreement was expressively agreed in writing by Creed Media. (For further clarification, an example would be PayPal). The customer accepts that any form of governmental fees including but not limited to taxes, legal fees, government charges, reasonable expenses are to be solely borne by the customer/account user. To the fullest extent of law, Creed Media will not be held responsible or liable for any charges.

The customer accepts that Creed Media has the full authority to charge advertising fees incurred by the user’s account regardless of any authorization by the user. The customer henceforth is aware and accepts that all calculations including but not limited to view counts, clicks and payments are solely based on Creed Media’s platform unless expressively agreed in writing by Creed Media. The customer henceforth understands that Creed Media disclaims all forms of liabilities for any loss including but not limited to late interest payments, all other administrative charges, taxes, other government charges, suspected invalid impressions, accounting information, other information residing on Creed Media’s advertising platform. The customer understands that if there are any form of refunds from, Creed Media at its sole discretion will only be able to repay in Creed Media’s advertising credits for Creed Media’s advertising platform.

Disclaimer and Limitation of Liability

TO THE FULLEST EVENT PERMITTED BY LAW, CREED MEDIA DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION TO ALL OF CREED MEDIA’S ADVERTISING, LINKS, REFERRALS, INFORMATION, THE ADVERTISING SERVICE AND OTHER SERVICES. IN ADDITION, CREED MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY AND COMPLETENESS OF THE ADVERTISING SERVICE. CREED MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES OR CONDITIONS OF NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR ANY PURPOSE. CREED MEDIA DOES NOT WARRANT, ENDORSE, ASSURE, OR ASSUME ANY RESPONSIBLITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY ANY OF OUR ASSOCIATES OR THIRD PARTY THROUGH THE SERVICE. CREED MEDIA WILL NOT BE AT ANY TIME RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND OUR ASSOCIATES OR THIRD PARTY.

CREED MEDIA WILL NOT BE LIABLE IN ANY WAY FOR ANY LOSSES, DAMAGES, EXPENSES, REVENUE, GOODWILL, CORRUPTION OF DATA, TORT, NEGLIENCE. EVEN IF CREED MEDIA IS ADVISED OF THE POSSIBILITY OF SUCH A LOSS OR DAMAGE, CREED MEDIA WILL NOT BE LIABLE IN ANY WAY WHATSOEVER. CREED MEDIA SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES WHICH ARISES FROM SITUATIONS WHICH ARE BEYOND THE REASONABLE CONTROL OR PREDICTIONS OF CREED MEDIA, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, TERRORISM, NATURAL DISASTERS AND POWER/ SERVER FAILURES.

Indemnity

The Customer fully indemnifies Creed Media, its associates, affiliates, and partners from any third party claim, liability, damages that the Customer, the Customer’s company, associates, partners may sustain or incur either indirectly or indirectly as a result of the Customer’s usage of Creed Media’s platform, website or advertising service or Customer’s breach of this agreement.

Governing Law

The customer is henceforth aware and agrees that any form of disputes will be governed by the laws of the Republic of Singapore.

Arbitration

All parties agree that they will try their best in good faith to settle all forms of disputes and claims within a reasonable time period (60 days). In a situation whereby any forms of disputes and claims cannot be resolved, all forms of disputes and claims will be solved through arbitration services provided by the Singapore International Arbitration Centre (“SIAC”). All unresolved disputes and claims will be submitted to the SIAC for resolution.

Jurisdiction

If any disputes of claims arise, it shall be brought before a court of law, pre- or post-arbitration, Visitor agrees that the sole and proper jurisdiction to be the state and city declared in the contact information of the web owner unless otherwise here specified, in this case the Republic of Singapore.

Usage of Logo/Name

The Customer agrees that it will allow Creed Media to use its name and logo for all purposes for the sake of publicity, including but not limited to usage on brochures, websites, reports which are created, owned or affiliated to Creed Media. The customer is not allowed to use the Creed Media name or logo in any form or way unless consent is granted by Creed Media.

Creed media/Intellectual Property rights

You accept and agree that Creed Media owns the Creed Media game advertising platform and all of its content including but not limited to images, photos, sounds, videos, advertisements, interactive features, trademarks and logos. You accept and agree that Creed Media owns all rights, titles and interests, including but not limited to all intellectual property rights regarding Creed Media game advertising platform. You are not allowed at all times, to use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or any other form of exploitation including without limitation to all of Creed Media’s content such as image, flash files, games, advertisements and any other property(ies). In addition, you are not permitted to sublicense, modify, resell, redistribute, repackage, adapt, translate, decompile, reverse engineer or any other form of exploitation the Creed Media game advertising service.

Subjected to the terms of the Creed Media Privacy Policy located at http://www.creed-media.com/PrivacyPolicy.aspx Creed Media may share non personally identifiable information about you, including property URLS, property related statistics and information, with or without any of Creed Media’s associates including but not limited to business partners, third parties and sponsors. You agree and provide Creed Media with all the necessary and required authorizations and rights to access, index, collect, track the property(ies), or any portion by methods authorized and employed by Creed Media.

Agency

The Customer agrees, affirms and warrants that he/she is authorized to act and advertise for the company, brand, product or service for which any advertisements represent.

Miscellaneous

Customer understands and accepts that Creed Media will be able to modify these terms or any other policies at any time and that a notice will be placed on creed-media.com which will warrant sufficient notification of the modification. Any usage of Creed Media’s advertising platform including usage of left over credits and new added credits after the modification will constitute that the customer has fully agreed to the updated terms and conditions. Customer also acknowledges that he is fully responsible for checking updates regarding the modifications.
